Effective Date: May 18, 2025
This User Agreement ("Agreement") sets forth the terms and conditions that apply to the purchase of products or services from Esatcom Inc. ("Esatcom", "we", "us", or "our"). By placing an order, accepting delivery, or using our products and services, you ("Customer") agree to be bound by this Agreement.
If you have signed a separate formal agreement with Esatcom, that agreement will govern instead. These terms may be updated at any time at Esatcom’s sole discretion.
1. Other Terms and Modifications
No terms or conditions in any purchase order, confirmation, or other document provided by the Customer shall alter or supplement this Agreement unless specifically agreed to in writing by Esatcom.
2. Payment Terms
Payment must be received before Esatcom accepts any order, unless credit terms are pre-approved.
Accepted payment methods include wire transfer, credit card, or other arrangements approved in advance.
Invoices must be paid according to the terms stated. Overdue balances may incur interest charges at the highest rate permitted by law.
Quotations are valid only for the period stated.
3. Order Cancellation
Order cancellations must be submitted to sales@esatcom.com within 24 hours of placing the order.
If an order is cancelled after 24 hours or after it has been processed or shipped, a restocking fee of 25% or more may apply.
Some products are non-cancellable once submitted to the factory, especially custom or special-order items.
4. Shipping, Taxes, and Duties
All prices are EXW (Ex Works) and do not include shipping, handling, or taxes.
Shipping costs and applicable taxes will be added to the final invoice.
Customers are responsible for providing valid tax exemption documentation, if applicable.
International orders may incur customs duties, VAT, brokerage fees, or tariffs. These fees are the responsibility of the Customer, even if an item is refused or returned.
5. Title and Risk of Loss
Title and risk of loss pass to the Customer upon shipment from Esatcom’s facility.
If Esatcom selects the carrier, we are responsible for any damage during transit. If the Customer selects the carrier, the Customer assumes risk.
Software titles remain with the original licensors.
6. Return Policy
Products may be returned within 15 days of the invoice date, subject to prior approval and an RMA (Return Merchandise Authorization).
Returns must be in original packaging and may incur a restocking fee of 25% or more, especially if the factory imposes a higher fee.
Software installations performed by Esatcom may be uninstalled upon request, subject to a 30% service fee.
Return shipping and insurance are the Customer's responsibility.

7. Warranties
All hardware products include a manufacturer’s limited warranty. Physical damage is not covered.
Warranty claims are valid only after full payment is received.
Software is governed by its own end-user license agreement (EULA) and is not warranted by Esatcom.
Esatcom disclaims all implied warranties, including merchantability and fitness for a particular purpose. Warranty remedies are limited to repair or replacement per the manufacturer’s terms.
8. Limitation of Liability
Esatcom is not liable for:
Loss of data, profit, business, or use
Indirect, incidental, or punitive damages
Any third-party claims unless explicitly agreed in writing
Esatcom’s liability is limited to the purchase price of the affected item(s).
9. Force Majeure
Esatcom shall not be held liable for delays or failure to perform due to circumstances beyond our control, including natural disasters, labor disputes, transportation issues, legal restrictions, supply chain disruptions, or government actions.
10. Severability
If any part of this Agreement is deemed invalid or unenforceable, the remainder shall remain in full force and effect.
11. No Waiver
A failure by Esatcom to enforce any part of this Agreement shall not constitute a waiver of our rights.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles. Venue for any dispute shall lie in the courts located in New York City.
